TERMS AND CONDITIONS OF ROOM HIRE

These Terms and Conditions apply to the rental and use of rooms at Sage Therapy Centre Ltd (“Sage”, “we”, “us” or “our”). By making a booking, registering to use the Centre, or using a room at the Centre, the Room User agrees to these Terms and Conditions.

“Room User” means any individual, practitioner, business or organisation hiring or using a room at Sage Therapy Centre.

  1. Room Rental Only

Sage provides rooms and premises for hire to independent practitioners, therapists, healthcare professionals, businesses and other organisations.

The service provided by Sage is the rental and use of a room at the Centre for the agreed booking period, together with the standard furniture and facilities ordinarily provided with that room.

Room rental does not include reception, secretarial, patient or client appointment management, clinical or therapeutic services, marketing or business-support services. Sage may assist Room users with making, changing or cancelling room bookings where requested.

The presence of a member of the Sage team during opening hours is solely for the general management, security and operation of the premises. It does not constitute a receptionist, administrator, agent or representative for a Room User.

Practitioners and organisations using the Centre operate independently and are solely responsible for the services they provide to their own clients, patients or customers.

  1. Registration and Bookings

Room Users must provide any information reasonably requested by Sage before using the premises. Where applicable, practitioners must provide evidence of appropriate professional registration, qualifications and insurance.

Sage reserves the right to refuse or withdraw permission to use the premises where it reasonably considers a practitioner, organisation or proposed activity unsuitable for the Centre.

Rooms may be booked on an ad-hoc, regular or other agreed basis, subject to availability. A booking is only confirmed when accepted by Sage.

Regular use does not create a tenancy, lease or permanent right to occupy a particular room.

There is no minimum booking commitment or obligation to make future bookings unless a separate written agreement expressly states otherwise.

  1. Charges and Cancellation

Current room hire charges are displayed on the Sage Therapy Centre online booking system and are confirmed at the time of booking. 

Room Users are responsible for providing, transporting, setting up and removing any equipment, clinical equipment, materials or other items they require for their use of the room, unless an item is expressly stated as part of the standard room provision. Sage does not provide additional equipment for Room Users.

An individual booking may be cancelled without charge provided Sage receives at least 24 hours’ notice before the scheduled booking time.

Cancellations with less than 24 hours’ notice, and failure to attend without cancelling, will be charged at the full room hire rate.

Cancellation must be made through the online booking system or by email/telephone to Sage. A successful cancellation through the booking system will generate a confirmation email to both Sage and the Room user, at which point the booking is considered cancelled. If confirmation is not received, the booking remains active and the full room hire charge will apply. 

  1. On-Site Centre Management

Sage Therapy Centre is staffed during its advertised opening hours.

A member of the Sage team may be present to oversee the premises, manage general access and assist with the smooth running of the building.

The Sage team member may provide general directions to visitors, including directions to the appropriate waiting area or room, but is not employed or engaged by Room Users.

Sage may assist Room users with making, changing or cancelling room bookings where requested. Sage does not book, manage or rearrange Room users’ client or patient appointments, or provide patient administration, telephone answering, clinical messages, patient check-in, payment collection or other administrative services.

Room Users remain responsible for communicating with and managing their own clients, patients and visitors.

  1. Room User Responsibilities

Room Users are responsible for ensuring that they are appropriately qualified, registered and insured to provide the services they offer and must maintain appropriate professional indemnity and public liability insurance where relevant.

Room Users are responsible for their own clients, patients, employees, contractors and visitors while using the Centre.

Room Users must comply with applicable laws, professional requirements, health and safety requirements and reasonable Centre rules, and must not use the premises for unlawful, unsafe or unauthorised activities.

Room Users must not sub-let, transfer or permit another person or business to use their booking without Sage’s prior agreement.

Rooms must be left clean, tidy and in substantially the same condition as found. Room Users are responsible for reasonable repair or replacement costs for damage caused by themselves or persons under their responsibility, other than ordinary wear and tear.

  1. Clinical, Professional and Data Responsibilities

Sage provides premises only and is not responsible for clinical, therapeutic, medical or other professional services provided by Room Users.

Room Users are solely responsible for their professional conduct, clinical decisions, services, clients or patients, appointments, records, complaints, registrations, insurance and compliance with applicable professional standards.

Sage does not supervise, endorse or guarantee services provided by independent Room Users. Complaints concerning those services must be addressed directly to the relevant Room User.

Room Users remain responsible for personal data and clinical information relating to their own clients and patients. They should not provide Sage with confidential or clinical patient information unless genuinely necessary for an agreed premises-related purpose.

Sage is not responsible for maintaining, storing or managing a Room User’s patient records. Sage’s Privacy Policy applies to personal information processed by Sage in connection with its own business activities.

  1. Premises, Access and Personal Property

Access is subject to the Centre’s advertised opening hours and any specific access arrangements communicated by Sage.

Sage may restrict or temporarily suspend access where reasonably necessary for safety, maintenance, security, emergency situations or other legitimate operational reasons.

Sage provides only the standard furniture and facilities ordinarily available in the booked room. Sage does not guarantee uninterrupted Wi-Fi, utilities, heating, lighting or other building facilities where interruption is outside its reasonable control.

Personal belongings, equipment, documents and other property are brought onto the premises at the owner’s risk. Room Users are responsible for appropriate insurance and security of their property.

Sage is not responsible for loss of or damage to Room User property except where liability cannot lawfully be excluded.

  1. Suspension, Force Majeure and Closure

Sage may suspend or terminate a Room User’s use of the Centre where there is a serious or repeated breach of these Terms, an unpaid undisputed invoice, serious damage, an unauthorised use, or a health, safety or security risk.

Sage will not be responsible for failure or delay in providing room hire where this results from circumstances beyond its reasonable control, including fire, flood, serious property or structural damage, loss of access, utility failure, landlord or authority action, regulatory restrictions, serious security incidents, serious illness or incapacity, hospitalisation, death, bereavement, sudden family tragedy, insolvency, bankruptcy, cessation of trading or other events outside Sage’s reasonable control.

Sage does not guarantee that it will remain open or continue trading indefinitely. It may temporarily close, suspend operations or cease trading where circumstances make this necessary or appropriate.

Where a booking cannot be provided because of circumstances under this section, Sage will notify affected Room Users as soon as reasonably practicable and will normally refund any amount paid in advance for the affected booking.

Sage will not be responsible for a Room User’s loss of income, loss of profit, cancelled appointments, travel costs, staff costs, patient claims, business interruption or other consequential losses arising from such circumstances.

  1. Liability and Indemnity

Nothing in these Terms excludes or limits liability which cannot legally be excluded or limited.

Subject to clause 9.1, Sage will not be liable for indirect or consequential losses, loss of profit, loss of revenue, loss of business, loss of goodwill, loss of anticipated savings or similar losses arising from use of the premises.

Subject to clause 9.1, Sage’s total aggregate liability arising from a Room User’s use of the Centre will not exceed the total room hire charges paid by that Room User to Sage during the 12 months immediately preceding the event giving rise to the claim.

Sage is not responsible for the actions, omissions, clinical services or professional conduct of independent Room Users.

Room Users are responsible for losses, claims, damage and reasonable costs arising from their breach of these Terms or from negligent, unlawful or improper actions of themselves or persons under their responsibility, including damage to Sage’s property or premises, except to the extent caused by Sage’s own negligence, breach or other liability which cannot legally be excluded or transferred.

  1. Payments

Room hire is payable on the day of the booking by card, unless an invoice arrangement has been expressly agreed in advance with Sage.

Where an Invoice arrangement has been agreed, invoices are payable within the payment period stated on the invoice or otherwise agreed in writing.

Any genuine invoice dispute should be raised promptly with sufficient detail. Undisputed amounts remain payable.

Sage may suspend future bookings where undisputed invoices remain unpaid and may charge interest and compensation on overdue commercial debts where permitted by law.

  1. Directory and Promotional Listings

Where Sage provides an optional directory listing or promotional opportunity, this is separate from room rental and does not constitute an endorsement, recommendation or guarantee of the Room User.

Room Users are responsible for ensuring that their advertising, qualifications, services and claims are accurate and compliant with applicable laws and professional requirements.

Sage may amend or remove directory content which it reasonably considers inaccurate, inappropriate or inconsistent with the Centre.

  1. Independent Businesses and Third-Party Terms

Sage and each Room User are independent businesses. Nothing in these Terms creates a partnership, joint venture, agency, employment relationship or other relationship of representation.

Sage staff are not employees, agents, receptionists or representatives of Room Users. Room Users must not represent themselves as being employed by, operated by or clinically provided by Sage unless expressly authorised in writing.

A Room User’s own purchasing terms, supplier terms, policies, codes of conduct, portals, SLAs or other contractual documents do not automatically apply to Sage.

Any additional obligation proposed by a Room User must be expressly accepted by Sage in writing.

  1. Changes, Privacy and General

Sage may update these Terms from time to time to reflect changes in the business, premises, law, regulation, insurance requirements or operational arrangements. Where a change materially affects an existing regular Room User, Sage will provide reasonable notice where practicable.

Sage processes personal information in accordance with its Privacy Policy. Room Users are responsible for their own compliance with applicable data protection law.

Information on the Sage website or promotional material describes the Centre and its room-hire facilities and does not create an obligation to provide services beyond the room rental expressly agreed.

If any provision is found invalid or unenforceable, the remaining provisions continue in force.

These Terms, together with any specific written booking agreement expressly agreed between Sage and the Room User, form the basis of the room rental arrangement.

These Terms are governed by the law of England and Wales and the courts of England and Wales will have jurisdiction, subject to any applicable legal rights.
